These Terms and Conditions (“Terms”) constitute an electronic record under the Information Technology Act, 2000, and the rules and regulations made thereunder, as amended from time to time. This electronic record is generated by a computer system and does not require any physical or electronic signature.
Please read these Terms carefully before accessing or using Ting. These Terms constitute a legally binding agreement (“Agreement”) between You and Para Works and govern Your access to and use of the Ting mobile application, website and related services (collectively, “Ting” or the “Services”) provided by PARA WORKS PRIVATE LIMITED, a company incorporated under the laws of India, having its registered office at No. 7, Ladha Building, 80 Feet Road, 20th Main Road, Koramangala VI Block, Bangalore South, Bengaluru – 560095, Karnataka (“Para Works”, “we”, “us” or “our”).
By downloading, installing, accessing, registering for, purchasing or using Ting, You agree to be bound by these Terms. Your use of Ting is also subject to the Ting Privacy Policy and any additional terms that are expressly applicable to particular features or Services.
If You do not agree to these Terms, You must not access or use Ting.
We may amend these Terms from time to time in accordance with Section 17 of these Terms. Any revised Terms will be published on the Ting website and/or through Ting, together with the applicable effective date. Where required by applicable law, or where a change materially affects Your rights, obligations or an active paid subscription, we may provide additional notice through an appropriate channel. Your continued access to or use of Ting after the revised Terms take effect will constitute acceptance of the revised Terms, to the extent permitted by applicable law.
BY DOWNLOADING, INSTALLING, ACCESSING, REGISTERING FOR, PURCHASING OR USING TING, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE TING.
1. Definitions
1.1 “Para Works”, “we”, “us” or “our” – shall refer to PARA WORKS PRIVATE LIMITED.
1.2 “You”, “Your” or “Customer” means the individual, company, body corporate, partnership firm, limited liability partnership, proprietorship, association, trust or other legal entity that accesses, registers for, purchases or uses Ting, and, where Ting is accessed or used on behalf of an Organisation, includes the Organisation and its authorised users, employees, personnel, agents or representatives using Ting on its behalf.
1.3 “Ting” or “Services” means the software-as-a-service platform provided by Para Works, including the Ting mobile application, website, software, features, functionality, documentation, updates and related services made available by Para Works from time to time.
1.4 “Organisation” means any company, body corporate, partnership firm, limited liability partnership, proprietorship, association, trust or other legal entity on whose behalf Ting is purchased or used.
4. What Ting Does
4.1 Ting is a software application that that uses device permissions, settings and operating-system capabilities enabled by You, including Android notification access, to identify eligible incoming payment notifications and provide such additional features such as:
a. spoken payment alerts;
b. payment history and related records;
c. payment totals and reports;
d. language and accessibility features; and
e. team, staff and shared-device features, where made available.
4.2 Para Works is a technology service provider and provides Ting as a software-as-a-service platform. Ting is not a bank, payment system, payment aggregator, payment gateway, wallet, TPAP, PSP or other entity that processes or settles payment transactions. Ting does not hold or control customer funds and does not perform any payment processing or settlement function.
4.3 Ting does not:
a. initiate or authorise UPI transactions;
b. authenticate or approve payment transactions;
c. receive, hold, transfer or settle customer funds;
d. operate or provide a bank account, wallet or any other payment service;
e. determine whether a payment has actually been credited or settled; or
f. provide banking, payment, financial or investment services.
4.4 Ting is a technology and notification reading service. Ting does not replace or serve as a substitute for the payment application, bank account, bank statement or transaction record through which a payment is actually processed.
4.5 Features and Services provided to You may vary depending on Your device, operating system, application version, payment application, notification format, network connectivity, subscription plan, language, location and other technical or operational factors.
5. Payment Notifications
5.1 Ting is an independent technology service that processes payment notifications generated by third-party payment applications or systems to provide alerts and related functionality. References to UPI, NPCI, banks, PSPs, TPAPs, payment applications or other payment-system participants are made solely to describe the functionality supported by Ting.
5.2 Ting is not affiliated with, sponsored, endorsed or otherwise associated with NPCI, any bank, PSP, TPAP or payment application, unless expressly stated otherwise.
5.3 A Ting alert is provided for informational purposes only and does not constitute confirmation that a payment has been successfully initiated, authorised, completed, credited or settled. Ting does not independently verify the authenticity, accuracy, completeness or final status of the payment notification. Notifications or alerts may be delayed, duplicated, incomplete, incorrectly interpreted, unavailable or otherwise inaccurate due to circumstances including changes or errors in third-party payment applications or notification formats, Android or operating-system behaviour, device settings or malfunction, network connectivity, battery optimisation or background restrictions, software updates, notification permissions, or other circumstances beyond our reasonable control.
5.4 You must independently verify the status of any payment through the relevant payment application, bank account, bank statement or other authoritative transaction record before releasing goods or services, handing over cash or other value, processing a refund, accepting a transaction as completed, or taking any other action that depends upon the receipt or settlement of funds. You must not rely solely on a Ting alert as evidence that funds have been received or that a payment has been successfully completed.
5.5 Nothing in these Terms is intended to modify, replace or override any applicable law any requirements applicable to the relevant payment transaction or payment-system participant.
6. Device Permissions and Notification Access
6.1 Certain Ting features require access to device permissions, settings or operating-system capabilities, including notification access, internet and network access, sound and audio functionality, foreground service functionality and the ability to operate subject to device battery and background activity settings.
6.2 You are responsible for reviewing the permissions, settings and access requested by Ting and deciding whether to grant or enable them. You should only enable the permissions and access necessary for the features of Ting that You choose to use.
6.3 Where required under applicable law, Ting will provide an appropriate notice and obtain Your consent before processing personal data for which consent is required. Your device-level permissions and Your consent to the processing of personal data are separate from Your acceptance of these Terms.
6.4 By enabling the relevant device permissions, settings or access, You permit Ting to use the corresponding device functionality and access information made available to Ting through such access, solely for the purposes described in the applicable Privacy Policy and any applicable consent notice. Granting a device permission does not by itself authorise Ting to use the information accessed for purposes that have not been disclosed to You.
6.5 You may withdraw or disable any permission, setting or access granted to Ting through Your device or operating system at any time. However, doing so may limit, impair or prevent Ting from providing some or all of its features, including payment notification alerts.
6.6 You must only grant Ting access to devices, notifications and information that You have the necessary rights, permission and authority to access. If You use Ting on a device shared with employees, agents or other persons, You are responsible for ensuring that the relevant permissions, notifications and information are used in accordance with applicable law and Your internal policies.
6.7 Where Ting is used on behalf of an Organisation, the Organisation shall be responsible for ensuring that relevant employees, personnel and other users have been appropriately informed and that any required permissions or notices have been obtained.
7. Account and Security Responsibilities
7.1 You must provide accurate and complete information when creating or maintaining Your Ting account and must keep such information up to date.
7.2 You are responsible for maintaining the security of Your Ting account, mobile device, authentication credentials, email address, mobile number and any other credentials used to access Ting. You must promptly notify us if You become aware of any unauthorised access to Your Ting account, loss or theft of Your device, unauthorised access to notification information, or any other security incident relating to Your use of Ting. Where You use Ting on behalf of an Organisation, You are also responsible for maintaining the security of any credentials and access controls provided to You by the Organisation.
7.3 Ting will never ask You to disclose Your UPI PIN, OTP, bank password, card PIN, internet banking password, MPIN or any other payment authentication credentials. You must never disclose such credentials to Ting or to any person claiming to represent Ting.6. Trial, Subscription and Billing
8. Trial, Subscription and Billing
8.1 Ting is provided on a subscription basis. The applicable subscription plan, fees, taxes, trial period (if any), billing frequency and renewal terms will be disclosed to You before You subscribe to the applicable plan. The applicable subscription fees, trial period, billing frequency and renewal terms will be disclosed to You before You subscribe. All applicable taxes, levies and statutory charges will be charged in addition to the subscription fees, unless otherwise stated.
8.2 If You subscribe to an auto-renewing plan, Your subscription will automatically renew for successive billing periods at the applicable subscription fee unless You cancel the subscription before the applicable renewal date.
8.3 Subscription fees are payable in accordance with the payment method and billing arrangements made available by Ting. Payments may be processed through a payment gateway, payment processor or other third-party payment service provider engaged by You, Para Works or the applicable distribution platform. Where applicable, Your subscription may also be subject to the terms, billing rules and payment or refund policies of the relevant payment platform.
8.4 Subscription fees are payable for Your access to and use of Ting and are separate from any payment transaction made by You or Your customers through UPI or any other payment application. Ting does not receive, hold, control or settle such customer payments merely because Ting receives, displays or announces a payment notification.
8.5 You may cancel Your subscription through the applicable payment or subscription management channel. Uninstalling Ting or ceasing to use the service does not, by itself, cancel an active subscription.
8.6 Cancellation will generally take effect at the end of the then-current billing period and will prevent further renewals. Unless otherwise stated in the applicable plan or required by applicable law, subscription fees already paid for the relevant billing period are non-refundable.
8.7 If any subscription fee is not successfully paid when due, we may suspend or restrict Your access to the applicable paid features or the service until the outstanding payment is resolved.
8.8 We may introduce, modify or discontinue subscription plans and may change the applicable subscription fees from time to time. We will provide reasonable prior notice of any material change to the fees or subscription terms, where required by applicable law or the nature of the change.
9. Service Availability, Accuracy and Limitations
9.1 Ting is a software-as-a-service platform that depends on third-party services, device permissions, operating systems, payment applications, notification formats, network connectivity, hosting infrastructure and other technologies or services that may be outside our control.
9.2 While we will use reasonable efforts to maintain the availability and functionality of Ting, we do not warrant or guarantee that Ting or any particular feature will be uninterrupted, error-free, continuously available or compatible with every device, operating system, payment application or notification format.
9.3 We do not guarantee that Ting will support every device, operating system, payment application, notification format or third-party service.
9.4 We may from time to time modify, update, enhance, replace, restrict, suspend or discontinue any feature or functionality of Ting where reasonably necessary for technical, security, legal, regulatory, operational or business reasons. Where reasonably practicable, we will provide notice of material changes or discontinuation, subject to the nature and urgency of the circumstances. Nothing in this Section limits any rights or remedies that cannot be excluded or limited under applicable law.
10. Payment Fraud and Prohibited Use
10.1 You acknowledge that payment-related fraud may involve false, manipulated, delayed, duplicated or misleading payment notifications. Ting is not responsible for independently verifying the authenticity or final status of an underlying payment transaction.
10.2 You must not represent, whether expressly or otherwise, a Ting alert or notification as a bank confirmation, NPCI confirmation, proof that funds have been received or credited, proof of settlement, or any other official confirmation issued by a bank, PSP, TPAP, payment application or other payment-system participant.
10.3 You must independently verify the status of any payment through the relevant payment application, bank account, bank statement or other authoritative transaction record before delivering goods or services, providing cash or other value, processing a refund, or otherwise acting on the basis of a payment notification.
10.4 You must not use Ting, or permit Ting to be used, to:
a. falsely represent or create the impression that a payment has been received, credited or settled;
b. facilitate fraud, cheating, deception or other unlawful activity;
c. mislead or deceive customers, employees, agents or other third parties regarding the status of a payment;
d. manipulate, falsify or misrepresent payment-related information or records;
e. facilitate unlawful transactions or activities; or
f. interfere with, compromise or attempt to circumvent the integrity or security of any payment system, payment application or related infrastructure.
10.5 If You become aware of a potentially fraudulent, unauthorised or otherwise suspicious payment, You should promptly contact the relevant bank, payment application, PSP or other applicable payment service provider and follow the applicable fraud-reporting or dispute-resolution process.
11. Third-Party Services and Dependencies
11.1 Ting may rely on, integrate with or interoperate with third-party services, technologies and infrastructure, including Android and other operating systems, payment applications, banks and payment service providers, payment gateways and payment processors, speech and text-processing services, hosting and cloud infrastructure, analytics, diagnostics and security services, and communication and customer-support services.
11.2 Third-party services are provided and controlled by their respective providers and may be subject to separate terms of use, service conditions, privacy policies and other applicable policies. Your use of any such third-party service may therefore be subject to the terms applicable to that service.
11.3 We do not control and are not responsible for the availability, performance, security, functionality, policies or practices of third-party services, or for any changes, interruptions, errors or outages affecting such services. This includes, without limitation, changes to notification formats, payment applications, operating systems, transaction processing or other functionality on which Ting may depend.
11.4 Where You use Ting in connection with third-party services selected, engaged or maintained by You or Your Organisation, including payment gateways, payment processors, banks, accounting systems or other business applications, You are responsible for complying with the applicable terms and requirements of those third-party services. Para Works is not responsible for the acts, omissions, availability or performance of such third-party services.
11.5 Any reference to a third-party service, payment application, bank, PSP, TPAP, NPCI or other third-party provider in Ting or these Terms does not constitute an endorsement, sponsorship, affiliation or representation by or on behalf of that third party, unless expressly stated otherwise. Nothing in these Terms limits any rights or remedies You may have directly against a third-party service provider under applicable law or the terms applicable to that provider's services.
12. Data Protection and Privacy
12.1 Para Works may process data in connection with the provision and use of Ting in accordance with applicable data protection and privacy laws and the Ting Privacy Policy, as updated from time to time.
12.2 Where an Organisation uses Ting and provides or makes data available to Para Works for processing, the Organisation shall remain responsible for determining the purposes for which such data is processed and for ensuring that its instructions, disclosures, permissions and use of Ting comply with applicable law. Para Works will process such data in accordance with the Organisation's lawful instructions and the applicable Privacy Policy and contractual arrangements.
12.3 The Privacy Policy and any applicable privacy or consent notice provided to You describe the personal data that Ting processes, the purposes and manner of such processing, the device permissions and notification access required for particular features, applicable disclosures or sharing, retention practices, security measures, and the rights and choices available to You.
12.4 Where Your consent is required for the processing of personal data, Para Works will obtain such consent in the manner required under applicable law. Where processing is based on Your consent, You may withdraw that consent through the mechanism specified in the applicable Privacy Policy or consent notice.
12.5 You may also withdraw or disable device-level permissions through Your device or operating-system settings. Withdrawal of consent or revocation of a device permission may affect Ting's ability to provide certain features or functionality.
12.6 Nothing in these Terms or the Privacy Policy prevents Para Works from processing personal data where such processing is otherwise permitted or required under applicable law, including for the performance or provision of Ting, compliance with legal obligations, responding to lawful requests, preventing or investigating fraud, misuse or security incidents, or establishing, exercising or defending legal rights and claims.
12.7 You acknowledge that where You enable Ting on a shared device or provide Ting with access to notifications or other information relating to other individuals, You are responsible for ensuring that You have the necessary authority or permission to provide such access and that Your use of such information complies with applicable law and Your internal policies. Nothing in these Terms limits any rights or remedies available to You under applicable data protection or privacy laws.
12.8 Where You provide information or other content to Ting on behalf of an Organisation or any third party, You represent that You have the necessary rights, permissions and authority to provide such information and to permit Para Works to process such information in accordance with these Terms, the Privacy Policy and applicable law.
13. Ownership and Intellectual Property
13.1 Ting, including its software, source and object code, design, user interface, features, content, documentation, trademarks, logos, technology and underlying intellectual property, is owned by or licensed to Para Works and is protected by applicable intellectual-property laws.
13.2 Subject to Your compliance with these Terms and payment of the applicable subscription fees, we grant You a limited, non-exclusive, non-transferable and non-sublicensable right during the applicable subscription period to access and use Ting solely for its intended purpose and for Your internal business use.
13.3 Your subscription gives You a limited right to access and use Ting Services and does not transfer to You any ownership or other proprietary interest in Ting or any of its software, technology, features, content or intellectual property. Except for the rights expressly granted under these Terms, all rights are reserved by Para Works and its licensors.
13.4 You retain all rights and interests that You may have in the information, content and other materials that You lawfully provide to or through Ting.
13.5 You grant Para Works a limited, non-exclusive right to host, store, process, transmit, reproduce and otherwise use such information and content to the extent reasonably necessary to provide, operate, maintain, secure, support and improve Ting, in accordance with these Terms and the Privacy Policy.
13.6 You represent that You have all rights, permissions and authority necessary to provide such information and content to Ting and to grant the rights described in Clause 12.5.
13.7 Where an Organisation uses Ting, nothing in these Terms transfers ownership of Ting or its intellectual property to the Organisation or any of its users, employees, personnel or agents.
14. Suspension and Termination
14.1 You may stop using Ting at any time. If You have an active subscription, You may cancel it through the purchase or subscription management channel through which You subscribed. Unless otherwise stated in the applicable plan or required by applicable law, cancellation will prevent future renewals but will not entitle You to a refund of subscription fees already paid for the applicable billing period, including where You choose to stop using Ting or are dissatisfied with the service.
14.2 We may suspend, restrict or terminate Your access to Ting, in whole or in part, if:
a. You materially breach these Terms;
b. any subscription fees remain unpaid or cannot be successfully collected;
c. Your use of Ting creates or may create a security, legal or regulatory risk;
d. we reasonably suspect fraud, abuse, misuse or unauthorised access;
e. we are required to do so by applicable law, court order or governmental or regulatory authority;
f. continued provision of Ting or any particular feature is no longer reasonably practicable for technical, security, legal, regulatory or operational reasons; or
g. You or the Organisation, as applicable, cease to satisfy the eligibility or authority requirements under Section 2.
14.3 Where reasonably practicable, we will provide You with prior notice before suspending or terminating Your access. We may, however, take immediate action where reasonably necessary to protect users, Ting, our systems or third parties, prevent fraud or misuse, or comply with applicable law or a direction of a competent authority.
14.4 Where access to Ting is suspended or terminated due to Your breach of these Terms, fraud, misuse or non-payment, You will not be entitled to a refund of subscription fees already paid, except where required by applicable law.
14.5 Termination or expiry of Your subscription or access to Ting does not affect any rights, obligations or liabilities that accrued before termination. Provisions which by their nature are intended to survive termination, including those relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnities, dispute resolution and governing law, will continue to apply after termination.
15. Disclaimers
15.1 To the maximum extent permitted by applicable law, Ting is provided on an “as is” and “as available” basis. We do not make any representation or warranty, express or implied, regarding the availability, reliability, accuracy, completeness, performance, suitability or fitness of Ting for any particular purpose.
15.2 Without limiting the foregoing, we do not warrant that Ting will be uninterrupted or error-free, that every payment notification will be detected or correctly interpreted, that Ting will operate on every device or Android version, that it will remain compatible with every third-party application or service, or that it will meet Your particular business requirements.
15.3 Ting alerts are informational in nature and do not constitute, and must not be treated as, confirmation or verification by Ting, a bank, NPCI, payment application, PSP, TPAP or any other payment-system participant that a payment has been successfully initiated, completed, credited or settled. Ting's Services are independent of any payment services separately used by You or Your Organisation.
15.4 You acknowledge that Ting is not intended to replace or serve as a substitute for the payment application, bank account, bank statement or other authoritative record through which an underlying payment transaction may be verified.
15.5 Nothing in these Terms excludes, restricts or limits any warranty, right, remedy or liability to the extent that such exclusion, restriction or limitation is not permitted under applicable law.
16. Limitation of Liability
16.1 To the maximum extent permitted by applicable law, Para Works and its directors, officers, employees, affiliates, licensors and service providers will not be liable for any indirect, incidental, special, exemplary or consequential loss or damage arising out of or in connection with Ting, including loss of profits, revenue, business, goodwill, opportunity or data.
16.2 Without limiting Clause 15.1, Para Works will not be liable for any loss or damage resulting from Your reliance on a Ting alert where the underlying payment has not been successfully received, credited or settled, including where the alert is delayed, duplicated, incomplete, inaccurate or incorrectly interpreted, except to the extent such liability cannot be excluded or limited under applicable law.
16.3 Subject to applicable law, the total aggregate liability of Para Works arising out of or in connection with Ting or these Terms, whether in contract, tort, negligence, statute or otherwise, will not exceed the subscription fees actually paid or payable by You for Ting during the twelve (12) months immediately preceding the event giving rise to the claim.
16.4 The exclusions and limitation of liability set out in this Section will apply irrespective of the form of action or the basis on which the claim is made and even if Para Works has been advised of the possibility of such loss or damage.
16.5 Nothing in these Terms excludes, restricts or limits any liability, right or remedy that cannot lawfully be excluded, restricted or limited under applicable law, including liability arising from fraud or wilful misconduct to the extent such liability cannot be limited.
16.6 Nothing in this section affects any mandatory rights or remedies available to a consumer under applicable law.
17. Your Responsibility and Indemnity
17.1 To the maximum extent permitted by applicable law, You are responsible for any losses, claims, liabilities, damages and reasonable costs incurred by Para Works arising directly from:
a. Your material breach of these Terms;
b. Your unlawful, fraudulent or unauthorised use of Ting;
c. Your infringement or violation of any third-party rights;
d. Your unauthorised access to or use of another person's device, account, notifications or information;
e. Your use of Ting in violation of applicable law; or
f. any act or omission by You, Your Organisation or Your authorised users in connection with Your use of Ting.
17.2 You will reasonably cooperate with Para Works in responding to any claim or proceeding arising from the matters described in Clause 16.1. Para Works will, where reasonably practicable, provide You with reasonable notice of any such claim and permit You to participate in its defence, provided that this does not affect Para Works' ability to take steps necessary to protect its interests.
17.3 This Section does not require You to indemnify Para Works to the extent that the relevant loss, claim, liability, damage or cost arises from Para Works' own fraud, wilful misconduct or liability that cannot lawfully be transferred or excluded.
18. Changes to Ting and These Terms
18.1 We may modify, update, enhance, restrict, suspend or discontinue Ting or any feature or functionality from time to time, including to reflect changes in technology, security requirements, legal or regulatory requirements, third-party services, or our operational requirements.
18.2 We may amend these Terms from time to time to reflect changes to Ting, our services or business practices, applicable law or regulatory requirements, security requirements, or other legitimate operational requirements.
18.3 We will publish the revised Terms on the Ting website and update the effective date. Where required by applicable law, or where a change materially affects Your rights, obligations or an active paid subscription, we will provide additional notice through an appropriate channel.
18.4 Any amendment to these Terms will take effect from the effective date specified in the revised Terms unless a different effective date is required by applicable law or expressly stated in the revised Terms.
18.5 Your continued access to or use of Ting after the revised Terms take effect will constitute acceptance of the revised Terms, to the extent permitted by applicable law. If You do not agree to a material change, You may stop using Ting and, where applicable, cancel Your subscription in accordance with these Terms.
19. Compliance with Law
19.1 You agree to use Ting in accordance with applicable Indian laws and regulations. Ting may modify or restrict its Services where reasonably necessary to comply with applicable law, regulatory requirements, directions of competent authorities, or requirements applicable to third-party payment and technology platforms.
19.2 Nothing in these Terms is intended to make Para Works a participant in any payment system or to confer upon Para Works any status, licence or authorisation that it does not otherwise possess.
19.3 Nothing in these Terms requires Para Works to perform any regulatory, compliance, payment-processing or verification function that is the responsibility of You, Your Organisation or a third-party payment-system participant..
20. Grievances and Support
20.1 Questions, complaints, support requests or other concerns relating to Ting may be submitted to:

20.2 The appropriate channel for addressing a concern will depend on its nature:
a. Ting services or functionality: You may contact us using the details set out in Clause 19.1;
b. Privacy or personal-data processing: You may contact the Grievance Officer through the mechanism specified in the Ting Privacy Policy; or
c. An underlying payment or UPI transaction: You should raise the matter with the relevant payment application, bank, PSP or other payment service provider through which the transaction was processed, in accordance with the applicable dispute-resolution or grievance mechanism.
20.3 Where a complaint relates to an underlying payment transaction, Ting's role is limited to providing its software and notification functionality. The display or announcement of a payment notification by Ting does not make Para Works responsible for processing, verifying, settling, reversing or resolving the underlying payment transaction.
20.4 Nothing in this Section limits or restricts any statutory right, remedy or grievance mechanism available to You under applicable law.
21. Governing Law and Dispute Resolution
21.1 These Terms and any dispute arising out of or in connection with Ting or these Terms will be governed by and construed in accordance with the laws of India.
21.2 If You have any dispute or concern relating to Ting or these Terms, You may first contact us so that we may attempt to resolve the matter amicably.
21.3 The parties will attempt in good faith to resolve the dispute amicably within 30 days from the date of receipt of written notice of the dispute.
21.4 Subject to any mandatory statutory remedy, consumer forum jurisdiction or other remedy or jurisdiction that cannot lawfully be excluded, the courts having jurisdiction over the registered office of Para Works will have jurisdiction over any dispute arising out of or in connection with Ting or these Terms.
22. General
22.1 Severability. If any provision of these Terms is held to be invalid, illegal or unenforceable, in whole or in part, that provision will be modified or severed to the extent necessary, and the remaining provisions will continue in full force and effect.
22.2 Waiver. Any failure or delay by us in exercising or enforcing any right or provision under these Terms will not constitute a waiver of that right or provision. Any waiver must be expressly made in writing.
22.3 Assignment. You may not assign, transfer or otherwise deal with any of Your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, financing, sale or transfer of all or part of the Ting business, or to an affiliate or successor, subject to applicable law.
22.4 Entire Agreement. These Terms, the Privacy Policy any applicable order, subscription plan or feature-specific terms expressly accepted by You, and any additional terms expressly presented to You in connection with a particular feature or service constitute the entire agreement between You and Para Works in relation to Ting and supersede any prior understanding or communication relating to the same subject matter.
22.5 Third-Party Purchase Terms. Where You subscribe to Ting through other third-party purchase or distribution channel, the terms and policies of that channel will apply to matters relating specifically to the purchase, billing, payment processing, cancellation and refunds of Your subscription, to the extent applicable. These Terms will continue to govern Your use of Ting.
22.6 Electronic Contract. These Terms constitute an electronic record and may be accepted electronically, including by clicking an acceptance button, checking a box or accessing or using Ting where such acceptance is legally sufficient. No physical signature is required for these Terms to be binding, subject to applicable law.
22.7 No Agency or Partnership. Nothing in these Terms creates or is intended to create a partnership, agency, employment, fiduciary or joint-venture relationship between You and Para Works.
22.8 Notices and Communications. We may communicate with You in relation to Ting, Your account, subscription, security, service updates and other matters relating to these Terms through the email address, mobile number, in-app notifications or other contact details associated with Your account, or through notices displayed within Ting or on the Ting website. Where You use Ting on behalf of an Organisation, communications relating to the Organisation's account may also be sent to the email address or other contact details designated by the Organisation.
22.9 Survival. Any provision of these Terms which, by its nature or express terms, is intended to survive termination or expiry of Your access to Ting will continue to apply after such termination or expiry, including provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution and governing law.
